OEDK LICENSE AGREEMENT
CLASSROOM EDITION

This is a legal agreement between You (as an individual or an employee of an entity and referred to herein as “You”) and Progress Software Corporation (“PSC”) regarding Your use of the PSC OpenEdge Developers’ Kit Software and Program Materials - Classroom Edition (the “OEDK”).

BY DOWNLOADING, INSTALLING, ACCESSING OR USING THE SOFTWARE AND/OR PROGRAM MATERIALS, YOU ACCEPT THE TERMS OF THIS END-USER LICENSE AGREEMENT AND CONSENT TO THE TRANSMISSION OF CERTAIN INFORMATION DURING USE OF THE SOFTWARE AS SET FORTH HEREIN. IF YOU DO NOT AGREE TO THE TERMS OF THIS END-USER LICENSE AGREEMENT, DO NOT DOWNLOAD, INSTALL, ACCESS, COPY OR USE THE SOFTWARE OR PROGRAM MATERIALS.

1. Purpose/Definitions.

a. The OpenEdge Developers’ Kit was created to assist You in developing and testing software applications based on the Progress OpenEdge Platform. The OpenEdge Developers’ Kit is available to individual developers, whether independent or within an organization, who have been issued a Progress ID. You may obtain a Progress ID by registering on the Progress Community Website at https://community.progress.com. You may obtain the Classroom Edition of the OpenEdge Developers’ Kit at https://community.progress.com/community_groups/openedge_classroom/default.aspx the “OEDK Website”). PSC reserves the right to discontinue offering the OpenEdge Developers’ Kit (or any Updates thereto) or to modify the OEDK at any time in its sole discretion; provided, however, that any such discontinuance or modification will not apply to You until the expiration of Your current term.

b. Agentic AI Services. means goal-oriented artificial intelligence systems or workflows that perform actions or tasks on your behalf and on behalf of your Users in a supervised or autonomous manner that might be created, orchestrated, or initiated within a GenAI Functionality. When enabled, Agentic AI Services may (a) call external tools, APIs, or systems, (b) retrieve or write data, or (c) initiate tasks or transactions on your behalf (e.g., “connectors,” “actions,” “tools,” “extensions,” or similar)

c. Documentation. The term “Documentation” means all product information provided by PSC, whether in printed or electronic form, describing the Software and Program Materials.

d. GenAI Functionality. means generative artificial intelligence functionality including any functionality that uses generative models to produce text, images, videos, or other forms of data.

e. Input. means all data and content, including data files, written text, keys, computer software, music, audio files or other sounds, photographs, videos, images or other data, that are provided to us by you or on your behalf including by Users through the use of the GenAI Functionality.

f. Output. means any data, text, sound, video, image, code, or other content generated by the GenAI Functionality, or the operation of the Product in conjunction with the GenAI Functionality, in response to Input.

g. Program Materials. The term “Program Materials” means all information and materials, including documentation, training materials, technical information and presentation materials related to the Software made available to You as part of the OpenEdge Developers’ Kit.

h. Software. The term “Software” means commercially released software products owned by PSC or its licensors, and any Updates thereto, which which may be delivered to You or which You may be permitted to download from the OEDK Website depending on which OEDK edition you have subscribed to.

i. Third-Party Apps and Services. has the meaning given in Section 11.4.3.2

j. Updates. The term “Updates” means any software patches, updates, new versions or new releases of the Software or updates or supplements to the Documentation or Program Materials, which You may receive. Your use of Software Updates is subject to the terms of this Agreement, together with the applicable clickwrap license, if any, accompanying the Update.

2. License Grant.

Subject to the terms and conditions of this Agreement, and subject also to the applicable clickwrap license agreement accompanying any Software You download from the OEDK Website, PSC grants You a personal, non-exclusive, non-transferable, limited license to use the Software and Program Materials only for the purpose of internal design, development, and testing of application software designed to function with the Progress OpenEdge Platform.

3. Restrictions.

a. The license granted pursuant to Paragraph 2 above is personal to You and may not be transferred, loaned, assigned or provided to another person, whether within or outside of Your organization.


b. You may use the Software and Program Materials solely for the purposes of designing, developing and testing Your OpenEdge-compatible software applications in a test environment, and for no other purpose. You may not deploy or use the Software and/or Program Materials in a production environment.

c. From time to time, You may have access to Pre-Release Code. In addition to the limitations described in this Agreement, You acknowledge that the Pre-Release Code is in the development stage, that it may contain known and unknown errors, that the results of its use and operation may be unreliable, and that damage to Your development environment may be caused by the use of Pre-Release Code.

e. All Updates shall be considered part of the Software, Documentation and/or Program Materials (as applicable) and subject to the terms and conditions of this Agreement. Additional license terms and conditions may accompany Updates as described in the first paragraph of this Agreement. By downloading, installing, copying or otherwise using any Update, You agree to be bound by the terms and conditions accompanying each Update.

f. You may receive Documentation as part of the Program Materials. PSC grants You a non-exclusive, non-transferable, limited license to copy and use the Documentation solely on an internal use basis in support of your application design, development and testing activities.

g. The Software, Documentation and/or Program Materials (as applicable) may include “non-literal” elements that reflect and embody creative choice, expression and ordering as a valuable aspect of PSC business offerings, such as program architecture, structure, sequence and organization, programming languages, application interfaces, operational modules, user interfaces, vocabulary, syntax and output designs. You agree that you shall not make, nor shall you engage or enable any third party to make, substantial use of these non-literal elements separately from your ongoing use of the items licensed to You.

4. Support.

a. PSC may make available support services for the Software and Program Materials.

b. The OEDK includes access to the Progress Community Website at https://community.progress.com/. PSC maintains an online community support forum where customers can post questions and communicate with other OEDK users. PSC may monitor this forum and respond to posts, but is under no obligation to provide a response to any forum post. Your use of the Progress Community Website is subject to the Progress Community Terms of Use posted in the “About the Community section of the website.

5. Payment.

a. While certain editions of the OEDK require payment of an annual Subscription Fee, the Classroom Edition is royalty-free.

6. Ownership.

The Software, Documentation and Program Materials are proprietary products and/or materials of PSC, or its licensors, and are protected by copyright law. By virtue of this Agreement, You acquire only the non–exclusive right to use the Software, Documentation and/or Program Materials You may download from the OEDK Website in accordance with the terms and conditions of this Agreement. You do not acquire any rights of ownership in the Software, Documentation and/or Program Materials, or the media upon which any of the foregoing are embodied. PSC, or its licensors, at all times retain all right, title, and interest in the Software, Documentation and Program Materials.

7. Feedback / Data Usage.

a. While You are not required to do so, You may from time to time provide feedback to PSC with regard to the functionality and performance of the Software and/or Program Materials including, without limitation, identifying potential errors and improvements (“Feedback”). Feedback You provide may be used by PSC to improve or enhance the Software and/or Program Materials, and You hereby grant PSC a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sublicense, modify, make, have made, distribute, sell, offer for sale, display, perform, create derivative works, permit distribution and otherwise exploit such Feedback without restriction.



b. The Software may use tools to identify trends and bugs, collect activation information, usage statistics and track other data related to Your use of the Software, and send that to PSC. PSC may use this information to provide services and to improve its products and services, in accordance with PSC’s Privacy Policy located at www.progress.com/privacy. Your use of the Software operates as Your consent to these practices.

8. Term and Termination.

a. This Agreement and the licenses granted herein shall remain in effect unless terminated in accordance with Paragraph 8(b) below.

b. Without prejudice to any of its other rights, PSC may immediately terminate this Agreement if You do not abide by the terms and conditions of this Agreement.

c. If this Agreement is terminated by PSC in accordance with Paragraph 8(b) above, then You agree to destroy all copies of the Software, Program Materials, Documentation and training materials in your possession or control. You agree, at PSC’s request, to certify in writing that all copies have been destroyed.

9. Training.

You may receive Training Materials by accessing them from the Progress eLearning Community Site located at https://pec.progress.com/account/login/. Your access and use of these materials is subject to the terms of this Agreement and the terms of the Progress eLearning Community License located at the Progress eLearning Community Site. You may use the Training Materials solely on an internal use basis in support of your application design, development and testing activities.

10. Nondisclosure Obligations/Reverse Engineering/Copying.

a. You acknowledge that the Software, Documentation and/or Program Materials are the valuable proprietary and trade secret information of PSC or its licensors. You agree: (i) not to provide or disclose any of the Software, Documentation and/or Program Materials to another individual or entity; and (ii) to take all reasonable precautions to maintain the confidentiality of the Software, Documentation and Program Materials.

b. You agree not to disclose any benchmark results relating to Your use of the Software without the prior written consent of PSC.

c. You may have access from time to time to information about PSC’s future product development plans and/or business development strategies. Such information shall be considered confidential information of PSC and Your use of, or access to such information shall be subject to the same nondisclosure terms and conditions specified in Paragraph 10(a) above applicable to the Software and Program Materials. Further, You acknowledge that PSC reserves the right, in its sole discretion, to modify or abandon, without notice, any such future product plans and/or business development strategies.

d. Except as expressly permitted by law in effect in the jurisdiction in which you are located, You agree not to cause or permit the reverse engineering, disassembly, or de-compilation of the Software, under penalty of license termination but not exclusive of any other remedies.

e. You may copy the Software for installation, archival, or other purposes as described in this Agreement or in the Documentation. You may not copy nor allow others to copy the Software for any other purpose. You agree not to remove any product identification, copyright notices, or other notices or proprietary restrictions from the Software, Documentation and/or Program Materials, or any copies thereof.

11. GenAI.

11.1. GenAI Functionality Integrated into a Product. This Section 11.1 applies solely to the extent some form of GenAI Functionality is integrated by us into a Product.

11.1.1. Policies. You represent and warrant that your use, the use by your Users, or any other use on your behalf, of the GenAI Functionality, will not, nor cause us to, violate any applicable law, or applicable policies or obligations (such as acceptable use policies or codes of conduct) imposed on us by any third-party provider of large language models or other artificial intelligence models which have been incorporated into the GenAI Functionality, as identified in the Documentation.

11.1.2. Conditions to Use of the GenAI Functionality.

11.1.2.1. Input. You are solely responsible for any Input. You will secure and maintain all rights and secure all permissions (where applicable) to the Input necessary for us to provide the GenAI Functionality to you without violating the rights of any third party or otherwise obligating us to you or to any third party. We do not and will not assume any obligations with respect to the Input or to the use of the GenAI Functionality by you or on your behalf, or by Users, other than as expressly set forth in this Agreement or as required by law.

11.1.2.2. Suspension. We may limit or suspend use of the GenAI Functionality if: (1) it is reasonably needed to prevent unauthorized access to Input; (2) you do not abide by the policies referenced in Section 11.1.1 above; or (3) if any third-party provider of large language models or other artificial intelligence models which have been incorporated into the GenAI Functionality suspends or indicates that it may suspend our access to the services used in connection with the GenAI Functionality, including as a result of your action or inaction in connection with your use of the GenAI Functionality.

11.1.2.3. Restrictions on Use. The GenAI Functionality shall not be used by you or on your behalf, or by Users, to (i) attempt to bypass, exploit, defeat, or disable Product restrictions, including any technical limitations; (ii) use the GenAI Functionality in a manner not consistent with the intended purposes described in the Documentation; (iii) upload, transmit through or post Personal Health Information (PHI), Personal Data (as defined in the DPA) or sensitive data to the GenAI Functionality; (iv) use the GenAI Functionality to make any automated decisions or take any automated action against any individual which may produce legal effects or significantly affect the individual; (v) use the GenAI Functionality to generate Output for the express purpose of creating synthetic training data to develop or train artificial intelligence models or systems that have substantially similar functionality to the GenAI Functionality.

11.1.2.4. Extracting Data. You may not use web scraping, web harvesting, or other data extraction methods to extract data from the GenAI Functionality.

11.1.3. Data Use and Access for Abuse Monitoring. As part of providing the services in connection with the GenAI Functionality, we and certain third-party providers of large language models or other artificial intelligence models which have been incorporated into the GenAI Functionality may temporarily store Inputs and Output, to monitor for and prevent abusive or harmful uses or outputs of the service.

11.1.4. Our Indemnity Exclusion; Output Disclaimer. Our defense and indemnity obligations in this Agreement will not apply with respect to the GenAI Functionality or any Output. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, ALL OUTPUT IS PROVIDED ‘AS IS’ AND WITHOUT ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WHATSOEVER.

11.1.5. Your Indemnity Obligation for the GenAI Functionality. To the extent permitted by applicable law, you will defend us and our Affiliates, and our and their respective officers, directors, employees, and agents from and against any and all third party claims, lawsuits, and proceedings that arise or result from (a) provision of Inputs in which sufficient rights are not secured; (b) Output generated in connection with Inputs that, alone or in combination, infringe or misappropriate another party’s intellectual property rights; (c) Output that you know or reasonably should know may infringe or misappropriate another party’s intellectual property rights; (d) use of Output in a manner that infringes upon a third party’s trademark rights; or (e) use of the Output after notice to stop using the Output is received.

11.1.6. High-Risk Disclaimer. The GenAI Functionality is not designed or intended to support any use in which a service interruption, defect, error, or other failure of the GenAI Functionality could result in the death or serious bodily injury of any person or in physical or environmental damage (collectively, “High-Risk Use”). Any High-Risk Use of the GenAI Functionality is at your own risk. You agree to defend, indemnify and hold us harmless from and against all damages, costs and attorneys' fees in connection with any claims arising from a High-Risk Use associated with the GenAI Functionality, including any claims based in strict liability or that we were negligent in designing or providing the GenAI Functionality. The foregoing indemnification obligation is in addition to any other defense or indemnification obligations set forth herein and is not subject to any limitation of, or exclusion from, liability contained herein.

11.1.7. Professional Advice Disclaimer. You acknowledge that the GenAI Functionality (1) is not designed, intended or made available as a medical device(s), and (2) is not designed or intended to be a substitute for professional advice, including medical diagnosis, treatment, or judgment and should not be used to replace or as a substitute for professional advice, including medical diagnosis, treatment, or judgment. You are solely responsible for displaying and/or obtaining appropriate consents, warnings, disclaimers, and acknowledgements to Users.

11.1.8. AI Changes. GenAI Functionality can be modified, limited, suspended or terminated at any time by us in our sole discretion with or without notice to you.

11.2. GenAI Functionality Integrated by You (“bring your own license”). This Section 11.2 applies solely to the extent you do not use, nor enable any GenAI Functionality integrated by us into the Product. If the Product Documentation specifies the possibility for you to integrate other forms of GenAI Functionality into the Product, then the Product will include a configuration to enable the integration. You acknowledge that a separate license or subscription access to other forms of GenAI Functionality governed by the terms and conditions of a license agreement from its respective licensor will be required for use and access of such GenAI Functionality integrated with the Product. You will be responsible for complying with the terms of such license agreement. You acknowledge and accept that we are not a party to the license agreement between you and the licensor for other forms of GenAI Functionality, and as a result we do not have any control over it or its availability, and we disclaim any and all liabilities for any output, error, damages, loss, etc., or any other result of your use of such GenAI Functionality integrated with the Product.

11.3. Agentic AI Services. This Section 11.3 applies solely to the extent the Product includes Agentic AI Services capabilities.

11.3.1. Your Responsibility for Agentic AI Services. You are solely responsible for: (a) the actions and tasks performed by an Agentic AI Service on your behalf and on behalf of Users; (b) determining whether the use of an Agentic AI Service is fit for its use case; (c) authorizing an Agentic AI Service’s access and connection to data, applications, and systems; and (d) exercising judgment and supervision when and if an Agentic AI Service is used in production environments to avoid any potential harm the Agentic AI Service may cause. The actions or tasks that an Agentic AI Service performs are not generated Output.

11.3.2. Using Third-Party Apps and Services. The Agentic AI Services may allow you to access products, services, websites, links, content, material, integrations, bots or applications from independent third parties ("Third-Party Apps and Services") and may allow or require you to share your content or data with such Third-Party Apps and Services that you access through the Agentic AI Services. The Third-Party Apps and Services may present you with a privacy policy or require you to accept their terms before you can install or use the Third-Party App or Service. You should review the third-party terms and privacy policies before acquiring, using, requesting, or linking your content or data to any Third-Party Apps and Services. Any third-party terms do not modify the terms of this Agreement, or any other terms or policies incorporated herein by reference. We do not license any intellectual property to you as part of any Third-Party Apps and Services. You agree to assume all risk and liability arising from your use of any Third-Party Apps and Services and that we are not responsible for any issues arising out of your use of them. We are not responsible or liable to you or others for information or services provided by any Third-Party Apps and Services.

12. Warranty Disclaimers.

a. THE OEDK (TOGETHER WITH ALL SOFTWARE, DOCUMENTATION AND PROGRAM MATERIALS) IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PSC DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

b. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, AND DO NOT ALLOW A LIMITATION ON HOW LONG ANY IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY. No PSC employee, supplier, or agent is authorized to make any warranty unless such warranty is agreed to by PSC in a writing executed by an authorized representative of PSC.

13. Limitation of Liability/Exclusion of Damages.

a. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LIABILITY OF PSC, IF ANY, FOR DAMAGES RELATING TO ANY SOFTWARE, DOCUMENTATION AND/OR PROGRAM MATERIALS DELIVERED TO YOU OR WHICH YOU DOWNLOADED FROM THE OEDK WEBSITE OR ANY RELATED SERVICE PROVIDED TO YOU UNDER THE OEDK, SHALL BE LIMITED TO THE GREATER OF: (I) THE ACTUAL SUBSCRIPTION FEES PAID BY YOU FOR YOUR CURRENT TERM; OR (II) ONE HUNDRED (U.S. $100.00) DOLLARS. PSC’S LICENSORS AND THEIR SUPPLIERS SHALL HAVE NO LIABILITY TO YOU FOR ANY DAMAGES SUFFERED BY YOU OR ANY THIRD PARTY AS A RESULT OF USING THE SOFTWARE, DOCUMENTATION AND/OR PROGRAM MATERIALS, OR AS A RESULT OF ANY SERVICES RELATING THERETO.

b. NOTWITHSTANDING THE FOREGOING, IN NO EVENT WILL PSC, ITS LICENSORS, OR ANY OF THEIR RESPECTIVE SUPPLIERS OR LICENSORS BE LIABLE FOR: (I) ANY LOSS OF: (a) REVENUE, (b) PROFIT OR (c) DATA; OR (II) ANY LOSS OR DAMAGE ARISING OUT OF THIS AGREEMENT TO THE EXTENT THAT SUCH LOSS OR DAMAGE IS INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL; OR (III) ANY COMMERCIAL DAMAGES OR LOSSES, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, DOCUMENTATION AND/OR PROGRAM MATERIALS, OR ANY PORTION THEREOF, OR OTHERWISE ARISING OUT OF ANY RELATED SERVICES PROVIDED TO YOU UNDER THE OEDK, EVEN IF PSC, ITS LICENSORS AND/OR ANY OF THEIR RESPECTIVE SUPPLIERS HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. FOR THE AVOIDANCE OF DOUBT, THE PROVISIONS OF CLAUSE 12(a)(I), 12(a)(II), 12 (b)(I), 12(b)(II) and 12(b)(III) SHALL EACH BE CONSTRUED AS A SEPARATE EXCLUSION OF LIABILITY. SOME STATES DO NOT ALLOW THE EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY.

14. General.

a. You agree to comply fully with all relevant regulations of the United States Department of Commerce and with the United States Export Administration Act to assure that the Software, Documentation and/or Program Materials are not imported, exported or re–exported in violation of United States law. You shall not directly or indirectly export or re–export any Software, Documentation, Program Materials, or the direct product thereof without first obtaining PSC’s written approval.

b. THIS AGREEMENT, TOGETHER WITH THE CLICKWRAP LICENSE AGREEMENT ACCOMPANYING THE SOFTWARE, IS THE COMPLETE AND ENTIRE AGREEMENT BETWEEN YOU AND PSC WITH RESPECT TO THE SOFTWARE, DOCUMENTATION, PROGRAM MATERIALS AND/OR RELATED SERVICES DELIVERED TO YOU, OR WHICH YOU DOWNLOAD FROM THE OEDK WEBSITE, AND SUPERCEDES ANY OTHER COMMUNICATION OR ADVERTISING WITH RESPECT TO THE OEDK AND/OR THE SOFTWARE, DOCUMENTATION, AND/OR PROGRAM MATERIALS.

c. To the extent there is any conflict between the terms and conditions that may appear during the installation of Software and the terms and conditions of this Agreement, the terms and conditions of this Agreement shall govern.

d. Except as otherwise expressly set forth herein, this Agreement is governed by the laws of the Commonwealth of Massachusetts, U.S.A., excluding conflict of laws provisions.

e. The parties have required that this Agreement and all documents relating thereto be drawn up in English. Les parties ont demandée que cette convention ainsi que tous les documents qui s’y rattachent soient rédigés en anglais.
